Terms of Service
Effective: March 1, 2026
1. Acceptance of Terms
By accessing or using FreightRateIntelligence.com ("FRI", "Service"), operated by Pathwell Group ("Company", "we", "us"), you agree to be bound by these Terms of Service.
2. Description of Service
FreightRateIntelligence.com provides cost-basis freight rate intelligence, market analysis, and lane comparison through a web dashboard, REST API, and MCP-compatible agent interface. All rate estimates are cost-basis models derived from public economic data — they are not load-board transaction rates.
3. Accounts and Access
- You must provide accurate information when creating an account
- You are responsible for maintaining confidentiality of your API keys
- You must not share, transfer, or sell access to your account
- We reserve the right to suspend or terminate accounts that violate these terms
4. Subscription Tiers and Billing
- FRI offers Explorer, Starter, Professional, and Enterprise tiers
- Paid subscriptions billed monthly or annually through Stripe
- You may cancel at any time; cancellation takes effect at end of billing period
- No refunds provided for partial billing periods
- Usage limits enforced per tier
5. API and Agent Usage
- API access subject to rate limiting per tier
- Agent API access requires Starter tier or above
- You must not use automated means to exceed rate limits
- API keys must be kept confidential and transmitted only over HTTPS
6. Data and Accuracy
- FRI rate estimates derived from publicly available economic data
- All estimates include confidence level and receipt ID
- FRI does not guarantee accuracy of rate estimates — they are modeled approximations
- Rate data for budgeting, benchmarking, analysis — not binding contract terms
7. Intellectual Property
- FRI service, algorithms, UI, documentation are property of Pathwell Group
- You retain ownership of input data
- You may use FRI output in business operations and reports
- You may not resell, redistribute, or white-label FRI data without permission
8. Constitutional Receipts and Audit Trail
Every API response includes a constitutional receipt. Receipt chain data is retained indefinitely for auditability. Receipts are immutable and cannot be modified or deleted.
9. Prohibited Uses
- Reverse-engineer or decompile the Service
- Interfere with or disrupt the Service
- Scrape or harvest data beyond tier limits
- Use the Service for illegal purposes
10. Limitation of Liability
FRI is provided "as is" without warranty. Pathwell Group's liability is limited to the amount paid for the Service in the 12 months preceding any claim.
11. Indemnification
You agree to indemnify Pathwell Group against claims arising from your use of the Service or violation of these terms.
12. Modifications
We may modify these terms at any time. Material changes will be communicated via email or dashboard notification. Continued use constitutes acceptance.
13. Governing Law
These terms are governed by the laws of the State of Texas.
